EduNode — Terms of Service

1. Definitions

In these Terms of Service ("Terms"):

• "EduNode", "we", "us", "our" — the online education marketplace operated at edunode.co by Viktor Oleksandrovych Tkachenko, a sole proprietor (FOP) registered in Ukraine.
• "Service" — the EduNode website, applications, and related software, tools, and features.
• "Account" — a registered EduNode user profile.
• "Organization" — the umbrella term for any provider Account that publishes Listings. An Organization is either a Tutor (an individual) or a School (an organization).
• "Tutor" — an individual Organization offering tuition, coaching, or instruction.
• "School" — an organizational Organization offering tuition, coaching, or instruction.
• "Student" — any user who browses, books, or attends Sessions.
• "Listing" (also "Course") — a published offer of tuition or instruction created by an Organization.
• "Booking" — a Student's reservation of a time-slot against a Listing.
• "Session" — a scheduled lesson, class, or consultation delivered against a Booking (typically online via a meeting link).
• "Lesson Payment" — money paid by a Student to a Tutor/School for a Session. Lesson Payments are made directly between Student and Tutor/School through the Tutor's/School's own payment provider. EduNode is never the payee, holder, escrow agent, or refunder of Lesson Payments (see Section 7).
• "Subscription" — the platform subscription fee an Organization pays to EduNode for access to paid Service features (see Section 7).
• "Content" — any text, images, profile information, Listing descriptions, messages, reviews, or other material submitted to the Service.

2. The EduNode Service & Our Role

2.1 EduNode is a venue and software platform only. We provide technology that lets Organizations publish Listings and lets Students discover Organizations, communicate, schedule, and book Sessions. We are a marketplace and listings service — not an education provider, employer, agency, or staffing business.

2.2 EduNode is not a party to the relationship between Students and Tutors/Schools. Any contract for tuition or instruction is formed solely between the Student and the relevant Tutor or School. We do not employ, engage, supervise, direct, manage, or control Tutors or Schools; we do not set, recommend, or negotiate their rates; we do not assign work; we do not set their schedules; and we do not guarantee, warrant, or vouch for the identity, qualifications, credentials, conduct, quality, safety, legality, or outcomes of any Tutor, School, Listing, or Session.

2.3 No credential vetting. EduNode does not verify, certify, or assess the academic qualifications, licences, experience, or competence of any Tutor or School. Students are solely responsible for evaluating and selecting Organizations. Any identity or anti-fraud checks we (or our service providers) perform are for platform security and fraud prevention only and are never a representation of quality, credential, or suitability (see Section 11).

2.4 Availability. We may modify, suspend, or discontinue any part of the Service at any time. We do not warrant uninterrupted or error-free operation.

3. Eligibility & Accounts

3.1 18+ only. The Service is available only to persons aged 18 or older. By creating an Account you represent and warrant that you are at least 18. We do not knowingly permit accounts for, or knowingly collect data from, persons under 18.

3.2 Adult-supervised learners. A minor may receive tuition only where an adult (parent or legal guardian) holds the Account, supervises the Sessions, and remains the contracting party and data subject. The adult is responsible for the minor's participation and for all activity under the Account.

3.3 Account accuracy. You must provide accurate, current information and keep it updated. You are responsible for safeguarding your credentials and for all activity under your Account.

3.4 One person, one Account (unless we expressly permit otherwise). You may not impersonate any person or misrepresent your affiliation.

3.5 Organizations may be required to complete identity / anti-fraud verification (KYB) and to maintain a valid Subscription to access paid features. Verification is for security and fraud prevention only (see Section 2.3).

3.6 Suspension / termination. We may suspend or terminate an Account for breach of these Terms, suspected fraud or abuse, or where required by law (see Section 10).

4. Tutor / School Listings

4.1 Organizations are solely responsible for their Listings, including descriptions, subjects, availability, pricing, and any claims made. Listings must be accurate and not misleading.

4.2 Listings and Sessions must comply with all applicable laws in the Organization's and the Student's jurisdictions.

4.3 Prohibited Listings. You may not list or offer through the Service anything that is illegal, fraudulent, infringing, or that facilitates academic dishonesty (see Section 10), nor any of the always-prohibited categories EduNode maintains (e.g., weapons, controlled substances, counterfeit or stolen goods, unlicensed financial instruments, sexual-exploitation content).

4.4 We may remove, reject, or re-rank any Listing that we reasonably believe violates these Terms or applicable law, without obligation to monitor.

5. Listings Ranking & Promoted Placements

5.1 Search ranking. Search and browse results are ordered by an algorithm. The main parameters determining ranking are, in general order of importance: (a) the relevance of a Listing to the Student's search terms and filters (subject, language, format); (b) Listing completeness and quality signals; (c) availability and recency; (d) location/proximity where relevant; (e) Student-side engagement signals; and (f) whether a placement is a paid Promoted placement (see 5.2). Relative weightings may change as we improve the Service.

5.2 Promoted placements are paid. Listings shown as "Promoted" are displayed because the Organization paid for enhanced placement. Promoted placements are clearly labelled. Payment influences placement of Promoted slots but does not change the ranking of organic (non-promoted) results.

5.3 We disclose here, for transparency to business users, that paid Promoted placement is the only form of direct or indirect remuneration that affects ranking.

6. Bookings, Time-Slots & Online Sessions

6.1 Booking. A Student books a Session by reserving an available time-slot on an Organization's Listing. Confirmation, scheduling, and conduct of the Session are arranged between the Student and the Organization.

6.2 Meeting links. Sessions are typically delivered online. Where an Organization connects a meeting provider (e.g., Zoom), EduNode may generate or relay a meeting link and add the Session to your calendar and send reminders. Use of a third-party meeting provider is subject to that provider's own terms.

6.3 Calendar & reminders. We may provide calendar entries (including iCal feeds) and email/SMS/push reminders for Bookings and Sessions as a convenience. You are responsible for attending.

6.4 Cancellations, rescheduling, no-shows, and lesson refunds are matters between the Student and the Tutor/School. EduNode does not impose, mediate, enforce, or fund any lesson cancellation or refund outcome (see Sections 7 and the Refund & Cancellation Policy). Each Organization sets and is responsible for its own cancellation terms, which the Student should review before booking.

7. Payments

7.1 Two distinct money flows. There are two completely separate categories of payment on EduNode, and it is important to understand the difference:

(a) Platform Subscriptions — paid to EduNode. Organizations pay EduNode a Subscription fee for access to paid Service features. Subscriptions are billed as follows:

• Ukrainian buyers are billed through Monobank acquiring, operated by EduNode directly. EduNode is the seller for those Subscription purchases.
• Foreign (non-Ukrainian) buyers are billed either by EduNode directly or through a third-party Merchant of Record (seller of record). The seller for your purchase is identified to you at checkout before you pay. Where a Merchant of Record is used, that provider — not EduNode — is the seller for that Subscription purchase and is responsible for charging and remitting VAT / sales tax and for handling the statutory withdrawal/refund of the Subscription (see the Refund & Cancellation Policy), and your purchase is additionally subject to that provider's buyer terms.

Add-on / feature subscriptions stack on top of a base Subscription and follow the same billing rails.

(b) Lesson Payments — paid DIRECTLY to the Tutor/School, NOT to EduNode. Money for Sessions (lesson fees) is paid directly by the Student to the Tutor or School through the Tutor's/School's own payment provider (for example Stripe, Wise, or PayPal). EduNode is not the payee, does not receive, hold, escrow, process, split, or remit Lesson Payments, and does not issue refunds of Lesson Payments. Lesson pricing, invoicing, taxes, receipts, refunds, and chargebacks for Sessions are solely between the Student and the Tutor/School.

7.2 Taxes. Organizations are responsible for their own taxes on Lesson Payments. For Subscriptions, VAT/sales tax is handled by EduNode under Ukrainian rules where EduNode is the seller, or by the Merchant of Record where one is used for your purchase.

7.3 Subscription renewal, price changes, and introductory offers.

(a) Renewal. Subscriptions renew automatically until cancelled. Plan changes, proration, trials, and grace periods are described at checkout and in your Account billing area, and are subject to the Refund & Cancellation Policy.

(b) The price you agree is the price you keep. We record the amount and currency of your Subscription when you subscribe, and we continue to charge that same amount on each renewal. We will not increase it without giving you advance notice under (c).

(c) Advance notice of a price increase. We will notify you at least 30 days before any increase takes effect for your Subscription, by email and by a notice in the Service. The notice will state your current amount, the new amount, and the date the new amount first applies. You may cancel at any time before that date, in which case the increase will never apply to you. If you do not cancel, the new amount applies from the date stated. Where you subscribe as a business user and a longer notice period is required by law, that longer period applies instead.

(d) Introductory, launch, and founding offers. An introductory, launch, or founding price is limited — by time, by the number of subscribers who may take it, or both — as stated at checkout when you subscribe. It applies for the period shown to you. When that period ends, your Subscription renews at our then-current standard price for your plan and market, and we will give you the advance notice in (c) before that happens. An introductory price is not a permanent entitlement, and taking one does not guarantee its availability to you again later.

(e) Prices differ by market. We publish Subscription prices in more than one currency and market. The prices that apply to you are determined by the billing details on your Account, and the applicable market and currency are shown to you at checkout before you pay. If your billing details change, a different market price may apply to any new Subscription you take out; the amount recorded under (b) for an existing Subscription is unaffected.

7.4 No EduNode liability for the Student↔Tutor transaction. Because EduNode is not a party to the Lesson Payment, EduNode has no liability for non-payment, overpayment, failed payment, refund disputes, or chargebacks arising between a Student and a Tutor/School.

8. Machine Translation

8.1 To make Content available across languages, EduNode may automatically translate user-submitted Content (such as Listing descriptions, profile text, and messages) using a third-party machine-translation processor (LibreTranslate). By submitting Content, you authorise this translation (see also Section 9 and the Privacy Policy).

8.2 Accuracy disclaimer. Machine translations are provided for convenience only and may be inaccurate, incomplete, or misleading. The original-language Content is authoritative. EduNode does not warrant the accuracy of any machine translation and is not liable for reliance on it.

9. User-Generated Content & Intellectual Property

9.1 Your ownership. You retain ownership of Content you submit.

9.2 Licence to EduNode. By submitting Content, you grant EduNode a worldwide, non-exclusive, royalty-free, sublicensable, transferable licence to host, store, reproduce, adapt, publish, display, distribute, and translate your Content, and to create and display derivative formats (such as thumbnails and machine translations), for the purposes of operating, promoting, and improving the Service. This licence ends when you delete the Content or your Account, except (a) for Content others have shared or copied, (b) where retention is required by law, and (c) for reasonable backup copies.

9.3 Your warranties. You represent that you own or have the rights to the Content you submit and that it does not infringe any third party's rights or violate any law.

9.4 EduNode IP. The Service, including its software, design, and trademarks, is owned by EduNode or its licensors. We grant you a limited, revocable, non-transferable licence to use the Service per these Terms.

9.5 Copyright complaints (notice-and-takedown). If you believe Content infringes your copyright, send a notice to support@edunode.co including: identification of the work, the allegedly infringing material and its location, your contact details, a good-faith statement, a statement of accuracy, and your signature. We may remove the material and may terminate repeat infringers.

9.6 EU Digital Services Act — notice and action. If you consider any Content illegal, you may submit a notice to support@edunode.co describing the Content, its exact location (URL), and why you consider it illegal, with your contact details. We will assess notices and act in a timely, diligent, and non-arbitrary manner, and will inform the notifying party and, where appropriate, the affected user of our decision and of available redress.

10. Prohibited Conduct & Academic Honesty

10.1 You must not:

• use the Service for any unlawful, fraudulent, or deceptive purpose;
• harass, threaten, defame, or abuse any person;
• impersonate any person or misrepresent your identity, affiliation, or qualifications;
• post false, misleading, or infringing Content;
• scrape, crawl, harvest, or bulk-extract data, or use bots to access the Service except as expressly permitted;
• interfere with, probe, or attempt to compromise the security or integrity of the Service;
• circumvent ranking, promotion, review, or fraud-prevention systems (e.g., fake reviews, manipulated bookings);
• offer or facilitate academic dishonesty (such as completing assignments, exams, or assessments on another's behalf in violation of an institution's rules, or other contract-cheating).

10.2 No off-platform-payment prohibition. Because Lesson Payments are made directly between Student and Tutor/School (Model B), these Terms do not prohibit Students and Tutors from arranging or paying for Sessions outside any EduNode-operated payment flow. (Fraud, abuse, and the conduct listed in 10.1 remain prohibited regardless of how a Session is paid for.)

10.3 Enforcement. We may investigate suspected violations and may remove Content, restrict features, or suspend or terminate Accounts. We may report unlawful activity to authorities.

11. Disclaimers & Assumption of Risk

11.1 "As is". The Service is provided "as is" and "as available", without warranties of any kind, to the maximum extent permitted by law. We disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

11.2 No vetting; assumption of risk. EduNode does not vet, verify, endorse, or guarantee any Organization, Tutor, School, Listing, Student, or Session. You select and interact with other users at your own risk. EduNode is not responsible for the conduct, qualifications, performance, safety, or legality of any user or Session, online or offline.

11.3 Third-party services. Meeting providers (Zoom), payment providers (Stripe/Wise/PayPal, Monobank, and any Merchant of Record used for Subscriptions), translation, maps, and other third-party services are governed by their own terms; EduNode is not responsible for them.

12. Limitation of Liability & Indemnification

12.1 Limitation. To the maximum extent permitted by applicable law, EduNode will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, data, goodwill, or for any Lesson Payment dispute. Subject to Section 12.3, EduNode's aggregate liability arising out of or relating to the Service will not exceed the greater of (a) the total Subscription fees you paid to EduNode in the 12 months before the event giving rise to the claim, or (b) EUR 100.

12.2 Indemnification. You agree to indemnify and hold harmless EduNode from claims, damages, and reasonable expenses arising from your Content, your use of the Service, your Sessions, or your breach of these Terms — except to the extent caused by EduNode.

12.3 Mandatory-law carve-out. Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law, including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or any mandatory rights and remedies of consumers (see Section 13). For consumers, the limitations in this Section 12 apply only to the extent permitted by the mandatory law of the consumer's country of residence.

13. Dispute Resolution & Governing Law

13.1 Default — Ukrainian law and courts. Except as stated in 13.2, these Terms and any dispute arising from them or from use of the Service are governed by the laws of Ukraine, and the parties submit to the courts of Ukraine. This default applies in particular to business users (Organizations acting in a commercial capacity) and to non-consumer relationships.

13.2 Mandatory consumer carve-out (EU / UK and other protected consumers). If you are a consumer habitually resident in the European Union, the United Kingdom, or another jurisdiction whose law grants you mandatory consumer protections:

• nothing in these Terms deprives you of the protection of the mandatory provisions of the law of your country of residence;
• you may bring proceedings against us in, and the mandatory consumer-protection law of, the courts of your country of residence apply to the extent they grant you greater protection;
• we do not impose mandatory arbitration on you, and there is no class-action waiver applicable to you; you retain access to your local courts and to any applicable alternative/online dispute-resolution mechanisms (including, for EU consumers, the relevant national consumer-ADR bodies).

13.3 EU/UK consumers may also have recourse to their national consumer authorities and ADR entities. EU consumers: see your national consumer centre (ECC-Net) for cross-border assistance.

13.4 Language. These Terms are published in English, Ukrainian and Polish. The Ukrainian and Polish texts are translations provided for your convenience; in the event of a discrepancy between versions, the English text prevails, except where the mandatory consumer-protection law of your country of residence requires the version in your own language to govern.

14. Changes to These Terms

14.1 We may update these Terms. For material changes, we will give reasonable advance notice (e.g., by email and/or an in-Service notice) before they take effect.

14.2 For business users (Organizations), where required by the P2B Regulation, we will give at least the legally required notice period before material changes to terms take effect, during which you may terminate.

14.3 Continued use after changes take effect constitutes acceptance, except where applicable law requires fresh consent.

Under the Ukrainian Law on Electronic Commerce and applicable consumer-information rules, we disclose:
